Retailer Terms and Conditions
Effective Date: 1st June 2025
1. Introduction
These Retailer Terms and Conditions ("Terms") govern the relationship between Flikit Pty Ltd ("Flikit", "we", "us") and any business, vendor, or retailer ("Retailer", "you") that registers and uses the Flikit Retail Portal to sell products through the Flikit mobile app and website (the "Flikit Technology").
By creating a Retailer account, accessing the Retail Portal, or listing products for sale, you agree to be bound by these Terms.
2. Role of Flikit
Flikit provides an online platform that allows Retailers to list and manage products, accept orders, and receive payments from customers. Flikit does not manufacture or take ownership of any goods. Flikit facilitates:
- Product listing via the Retail Portal;
- Payment processing via Stripe;
- Customer order placement through the app or website;
- Delivery through integrated third-party logistics providers (currently DoorDash).
Flikit is a marketplace platform and is not liable for the actions, omissions, or products of any Retailer.
3. Retailer Responsibilities
As a Retailer using Flikit, you agree to:
- Ensure product details and stock levels are accurate;
- Fulfil orders promptly within agreed timeframes;
- Notify Flikit immediately of operational delays or order issues;
- Maintain an active Stripe Business account for payments;
- Comply with Australian consumer laws, including refunds and product safety;
- Manage customer refund or exchange requests directly;
- Keep customer data confidential and use it only to fulfil orders;
- Not use customer data for external marketing or unauthorised purposes.
All Retailers must maintain valid insurance (including product liability) and provide proof on request. Non-compliance may result in suspension or termination.
4. Payments and Fees
Payments are processed via Stripe and deposited into the Retailer’s account. Flikit currently does not charge platform fees but may do so in future with notice. Additional services (training, support) may incur fees.
5. Order Fulfilment and Delivery
Flikit uses DoorDash for deliveries. Retailers must prepare orders promptly for pickup. Delivery times shown to customers are indicative and depend on availability.
6. Refunds and Customer Complaints
Retailers are responsible for managing refunds, returns, and complaints. Policies must comply with Australian Consumer Law. Flikit may assist in disputes but is not liable for Retailer-related issues.
7. Use of the Platform
Retailers agree to use the platform lawfully and must not:
- List illegal items;
- Use misleading product information;
- Manipulate platform systems;
- Solicit customers outside the platform.
You may use Flikit’s branding only for your listings and only with approved brand assets.
8. Onboarding and Termination
Retailers may self-onboard via the Retail Portal. Flikit may accept, reject, or remove Retailers at its discretion. You may terminate anytime via written notice. Flikit may suspend or terminate for breach or misuse.
9. Intellectual Property
Flikit retains ownership of all branding, design, and software of the Flikit Technology. Retailers may only use approved assets to promote their listings.
10. Limitation of Liability
To the fullest extent permitted by law, Flikit is not liable for:
- Loss of profits or business interruption;
- Delivery issues caused by third parties;
- Platform outages or technical issues beyond our control;
- Disputes between Retailers and Customers.
11. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes will be handled by its courts.
